Welcome to Arnio, Inc.’s Terms of Service (“Terms” or “Agreement”). These Terms constitute a legal agreement between Arnio, Inc. (“Arnio,” “we,” “us,” or “our”) and the individual or entity (“Customer,” “you,” or “User”) registering for or using our services. These Services are designed to enhance client communications, nurture leads, and drive results through AI-powered messaging, CRM integration, and automation (“Services”).
By accessing or using our Services, you confirm that you are authorized to enter into this Agreement on behalf of yourself or your organization. These Terms apply to all Users and supersede any prior agreements between you and Arnio.
BY SELECTING “I ACCEPT” OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE. YOU WAIVE YOUR RIGHT TO A JURY TRIAL. CLASS ACTIONS AND CLASS ARBITRATIONS ARE NOT PERMITTED.
Acceptable Use & Restrictions
By using Arnio’s Services, you agree not to:
Upload or transmit unlawful, offensive, or harmful content.
Engage in illegal, fraudulent, or unethical conduct.
Tamper with or reverse-engineer any part of the Services or technology stack.
Infringe on Arnio’s or any third party’s intellectual property rights.
Bypass system restrictions or create unauthorized accounts to abuse usage limits.
Send spam or unsolicited communications without proper consent.
Misrepresent your identity, intent, or authority.
Submit misleading or inaccurate data that affects performance or compliance.
Disrupt the platform or interfere with other users’ access.
Violating these guidelines may result in immediate suspension or permanent termination of access.
Legal Compliance & Ethical Use
You must comply with all applicable laws, including but not limited t
Data privacy regulations
Biometric and personal data protection
Anti-spam laws (e.g., TCPA, CAN-SPAM)
Consumer protection rules
You may not use Arnio for:
Distributing misinformation or impersonation
High-risk applications in healthcare, legal, or financial advice without oversight
Activities that undermine regulatory, democratic, or ethical norms
You’re solely responsible for ensuring lawful and responsible usage of the platform.
Payment Terms
All fees (“Fees”) are detailed in your signed order form or service agreement with Arnio.
Unless otherwise stated, Fees are billed in advance and are non-refundable.
Late payments may incur a 1.5% monthly fee or the maximum allowed by law.
Arnio may adjust pricing to reflect carrier, vendor, or infrastructure cost changes.
You’re responsible for applicable taxes, except for those based on Arnio’s income.
Relationship Between Parties
This Agreement does not create a partnership, joint venture, employment, or agency relationship. Both parties remain independent contractors.
Intellectual Property
Arnio retains full ownership of its software, designs, documentation, workflows, and proprietary tools.
You retain ownership of your customer data, provided you have lawful rights to collect and use it.
Arnio may use anonymized, aggregated usage data to improve its Services.
Feedback you provide may be used royalty-free to enhance Arnio’s products and features.
Confidentiality
You agree to maintain the confidentiality of all proprietary or sensitive information shared by Arnio, including:
Not sharing it with third parties without permission
Using it solely to access and benefit from the Services
Returning or destroying it upon termination
Violations may lead to legal action and/or service suspension.
Consent and Messaging Compliance
You are fully responsible for obtaining opt-in consent before sending communications through Arnio. Failure to comply with opt-in/opt-out laws:
Constitutes a material breach of this Agreement
May result in regulatory action or penalties
Requires you to indemnify Arnio against related claims or damages
Arnio reserves the right to audit for compliance.
User Content and Responsibilities
You own your submitted content and data.
By using the platform, you grant Arnio a limited license to use that data to operate and improve the Services.
You are solely responsible for ensuring the legality, accuracy, and appropriateness of all content you upload.
Disclaimers
Arnio’s Services are provided “as is” and “as available.” We do not guarantee:
That the Services will be error-free or uninterrupted
That output from the platform will be accurate, complete, or suitable for a specific use
Immunity from data loss, breaches, or unauthorized access
Use is at your own risk.
Limitation of Liability
To the fullest extent permitted by law:
Arnio is not liable for indirect, incidental, or consequential damages.
Arnio’s total liability for any claim is limited to the amount you paid in the six months prior to the event.
You agree to defend and indemnify Arnio against claims arising from your misuse of the Services, legal violations, or breaches of this Agreement.
Miscellaneous
Use of Logo: Unless otherwise requested, Arnio may display your logo on our website and marketing materials.
Third-Party Content: Arnio is not liable for third-party tools, links, or integrations.
Notices: All formal notices will be sent via email or posted to our website.
Entire Agreement: This document represents the full agreement between the parties.
Governing Law: This Agreement is governed by the laws of the State of Delaware.
Arbitration: Any disputes will be resolved via binding arbitration in Delaware.
Assignment: Neither party may assign this Agreement without written consent.
Legal Fees: The prevailing party in any legal action may recover reasonable legal costs.
Severability: If any part of these Terms is deemed unenforceable, the rest remain in effect.
